These terms cover this website — what it is, what you may do with it, and where our responsibility for it ends. Client work is governed by the agreement signed for that engagement, not by this page.

This document is a good-faith starting point written to describe how this website actually works. It is not legal advice and it has not been reviewed by a lawyer. ScaleUp must have its own counsel review it before launch, against the jurisdictions the company operates in and the systems it genuinely uses.
Agreeing to these terms
These terms govern your use of https://suitsol.com (the "site"), operated by ScaleUp IT Solution, trading as ScaleUp IT Solution. By using the site you accept them. If you do not, please stop using it.
We may update these terms. The effective date at the top of the page tells you when the current version took effect, and continuing to use the site after a change means you accept the revised version.
What this site is, and is not
This site describes services we offer and work we have done. Everything on it — service descriptions, indicative timelines, price ranges, case study figures — is provided for information. None of it is an offer capable of acceptance, and nothing on this site creates a contract between us.
Any engagement begins only when both parties sign a written services agreement or statement of work. Where anything on this site conflicts with a signed agreement, the signed agreement governs.
Enquiries you send us
You are responsible for the accuracy of what you submit through the contact form, and for having the right to send it. Do not send confidential information through the form: an enquiry sent this way is not covered by any confidentiality obligation until we have a non-disclosure agreement in place, which we are glad to sign when the conversation needs one.
Do not send passwords, credentials, payment card details, health records or other sensitive personal data through this site. If an enquiry requires material of that kind, ask us and we will set up a secure channel.
If you send us an unsolicited idea, suggestion or proposal, we may use it without obligation or compensation to you. This is not us claiming your intellectual property; it is us being unable to prove that a similar idea did not already exist internally.
Acceptable use
You agree not to:
- Use the site for any unlawful purpose, or in breach of any applicable regulation.
- Attempt to gain unauthorised access to the site, its servers, or any connected system.
- Probe, scan or test the vulnerability of the site without our prior written permission.
- Interfere with the site's availability, including by overloading it or by any denial-of-service technique.
- Submit content that is unlawful, defamatory, or infringes anyone's rights, or that contains malicious code.
- Scrape, harvest or systematically extract content from the site for commercial use without our written consent.
- Use the contact form to send unsolicited commercial messages.
Intellectual property
All content on this site — text, layout, design, code, graphics and the ScaleUp IT Solution name and marks — is owned by us or used with permission, and is protected by copyright, trade mark and other laws. You may view it, and print or download extracts for your own reference or to evaluate working with us.
You may not otherwise copy, republish, adapt or exploit any part of the site commercially without our prior written consent. Third-party names and marks appearing on the site, including the technology platforms we work with, remain the property of their respective owners and their appearance implies no endorsement in either direction.
Third-party links
The site links to websites we do not control. Those links are provided for convenience and are not an endorsement of the linked organisation or its content. We accept no responsibility for third-party sites, and your use of them is governed by their terms, not ours.
No professional advice
Nothing on this site is professional advice — technical, legal, financial or otherwise — and it is not a substitute for an engagement in which we understand your circumstances. Do not act on general material here without taking advice appropriate to your own situation. Where a page describes what a system, regulation or platform typically requires, treat that as a starting point for a conversation, not as a determination about your case.
Availability and accuracy
We take care to keep this site accurate and available, but we do not warrant that it will be uninterrupted, error-free, or that its content is complete or current at any given moment. The site is provided on an "as is" and "as available" basis, and to the fullest extent permitted by law we exclude all implied warranties, including those of merchantability, fitness for a particular purpose and non-infringement.
We may change, suspend or withdraw any part of the site at any time without notice.
Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss arising out of your use of this site, nor for any loss of profit, revenue, business, goodwill or data, however caused.
Our total aggregate liability arising out of or in connection with your use of this site is limited to one hundred United States dollars (USD 100). This limit does not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot lawfully be excluded or limited. Nothing here limits our liability under a signed services agreement, which has its own liability terms.
Some jurisdictions do not allow certain exclusions or limitations, in which case those provisions apply to you only to the extent permitted.
Indemnity
You agree to indemnify us against any claim, loss or expense, including reasonable legal fees, arising from your breach of these terms, your misuse of the site, or your infringement of any third-party right through material you submit to us.
Privacy
Our handling of personal information is set out in the privacy policy, which forms part of these terms. Please read it before using the contact form.
Governing law and disputes
These terms, and any dispute arising out of them or out of your use of this site, are governed by the laws of the jurisdiction in which the company is registered, without regard to its conflict of law rules, and its courts have exclusive jurisdiction. The governing jurisdiction has not yet been set for this site — see the note at the top of this page; it must be confirmed with counsel before these terms are relied on.
If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.
General
If any provision of these terms is held unenforceable, the remaining provisions continue in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the privacy policy, are the entire agreement between us regarding use of this site, and they do not create any agency, partnership or employment relationship.
You may not assign or transfer your rights under these terms. We may assign ours to a successor in connection with a merger, acquisition or sale of assets.
